1. Scope of Application and Target Group

These General Terms and Conditions (GTC) apply to all transactions you conclude with Marein AG (hereinafter "we" or "Marein") via the B2B shop shop.marein.ch (hereinafter "B2B shop").

The B2B shop is aimed at the following customer groups (hereinafter collectively "B2B customers"):

Commercial Customers – legal entities, partnerships, and sole proprietorships with a valid commercial register entry or a valid UID number, who purchase the ordered goods in the course of their commercial or professional activity.

Studios and Creative Small Businesses – even without a commercial register entry or UID number, provided they use the ordered goods in the course of their artistic or creative activity.

Schools and Educational Institutions – that use the ordered goods in the course of their teaching or educational operations.

Sales to private end consumers within the meaning of Swiss consumer protection law do not take place via the B2B shop. Our end-customer shops are available for private orders.

By registering and placing each order, you confirm that you are ordering within the scope of your professional, operational, artistic, or educational activity and are not acting as a consumer.

2. Registration and Customer Account

Access to the B2B shop requires registration. We reserve the right to review any registration and to refuse or revoke the activation of the customer account without stating reasons.

You are obliged to keep your access data secret and to protect it from unauthorized access by third parties. You are responsible for all orders and actions made through your customer account. In case of suspected misuse, you must inform us immediately at info@marein.ch.

You must promptly report changes to your customer data (name/company, address, if applicable UID, contact person, payment details).

3. Conclusion of Contract

The presentation of products in the B2B shop does not constitute a binding offer, but an non-binding invitation to submit an offer. By completing your order, you submit a binding offer. The purchase contract is concluded as soon as we confirm your order by email or deliver the goods.

We reserve the right to reject orders without stating reasons, especially in case of doubts about creditworthiness, exceeding a credit limit, or violations of these GTC.

4. Prices and Discounts

4.1 Prices

All prices in the B2B shop are in Swiss Francs (CHF), net excluding statutory VAT and any advanced recycling fees. The prices displayed in the B2B shop for your customer account at the time of ordering are decisive.

We reserve the right to adjust prices, assortment, and availability at any time. Already confirmed orders remain unaffected.

4.2 Discounts and Conditions

The discount levels and conditions displayed to you in the B2B shop are individually assigned trade conditions and do not constitute a legal entitlement. We are entitled to adjust, change, or cancel discount levels, price scales, payment terms, and other conditions at any time.

The conditions granted to you are confidential. You undertake not to pass on price lists, discount levels, and individual conditions, either in whole or in part, to third parties.

5. Shipping and Delivery

5.1 Delivery Area and Delivery Time

We deliver exclusively within Switzerland. Delivery will be made as quickly as possible, usually within 2–5 working days from order confirmation, depending on product availability.

Stated delivery times are indicative and not binding, unless expressly agreed in writing as a fixed date. Claims for damages due to delayed delivery are excluded, unless we are guilty of gross negligence or intent.

We are entitled to make partial deliveries, provided this is reasonable for you.

5.2 Shipping Costs

Shipping costs are calculated at checkout based on weight and volume and are clearly displayed to you before completing the order.

5.3 Transfer of Risk

For shipments, the risk of accidental loss and accidental deterioration of the goods passes to you upon handover to the carrier (Art. 185 OR).

5.4 Transport Damage

In the event of visible transport damage, you must have an inventory drawn up by the delivery agent and report the damage to us immediately, at the latest within 2 working days, at info@marein.ch.

6. Payment Terms

6.1 Payment by Invoice

Payment is made exclusively by invoice. Other payment methods are not available in the B2B shop. Invoices are due for payment net and without deduction within 30 days from the invoice date, unless otherwise agreed. We reserve the right to demand advance payment in individual cases, especially for first-time orders, in case of a negative credit check, or if a credit limit is exceeded.

6.2 Default in Payment

In case of default in payment, you owe us default interest at the statutory rate of 5% p.a. (Art. 104 OR). For each reminder, we charge a processing fee of CHF 20.–. Further claims, in particular for reimbursement of collection and legal pursuit costs, remain reserved.

In case of default in payment, we are entitled to withhold open orders, to execute further deliveries only against advance payment, and to temporarily block access to the B2B shop.

6.3 Set-off and Retention

A set-off with counterclaims is only permissible if your counterclaims are undisputed or have been legally established. You are only entitled to exercise a right of retention due to counterclaims arising from the same contractual relationship.

7. Retention of Title

The delivered goods remain our property until full payment of all claims arising from the business relationship. We are entitled to register the retention of title in the Swiss retention of title register. You are obliged to assist us with all necessary measures.

In the event of resale of the reserved goods in the ordinary course of business, you hereby assign to us all claims arising from the resale up to the amount of our open claims. We accept this assignment.

8. Notification of Defects and Warranty

8.1 Commercial Duty of Inspection and Notification of Defects

As a commercial buyer, you are obliged according to Art. 201 OR to inspect the delivered goods immediately upon receipt and to report any defects without delay – at the latest within 5 working days from receipt – in writing to info@marein.ch. Hidden defects must be reported immediately upon their discovery.

If you fail to inspect or report in due time, the goods are deemed approved.

8.2 Warranty

We warrant for a period of 12 months from delivery that the goods have the contractually agreed properties. In case of a justified notice of defect, we will, at our discretion, repair, replace, or issue a credit note. Further claims, in particular for rescission, reduction, or damages, are – as far as legally permissible – excluded.

A prerequisite for warranty claims is that the goods are returned unused, in original packaging, and with complete accessories.

8.3 Exclusion

Warranty claims do not exist in case of natural wear and tear, improper storage or handling, further processing contrary to manufacturer's specifications, as well as damages caused by you or third parties after the transfer of risk.

9. No Right of Return

A voluntary right of return as in the B2C sector does not exist for B2B orders. Returns are only possible with our prior written consent and at your expense. Returns made out of goodwill may be subject to a processing fee.

10. Liability

We are liable without limitation for personal injury as well as for intent and gross negligence. In all other respects, our liability – as far as legally permissible – is limited to the typical, foreseeable damage and to a maximum of the value of the respective order.

We are not liable – as far as legally permissible – for indirect damages, consequential damages, lost profits, business interruption, data loss, as well as claims of third parties.

In particular, we are not liable for:

  • Defects and disruptions for which we are not responsible
  • Security defects and operational failures of third-party companies with whom we cooperate or on whom we depend
  • Force majeure
  • Improper use, disregard of risks or processing instructions by the customer or third parties
  • Interference by the customer or disruptions by third parties (e.g., viruses, worms, hacking attacks), which occur despite current security measures

11. Use of Brand Material

For the promotion and resale of our products, we provide you with product images, descriptions, and brand material upon request. Their use is exclusively permitted in connection with the distribution of our products. Any alteration, falsification, or use detrimental to reputation is prohibited. After termination of the business relationship, all provided materials must be deleted or returned upon request.

12. Data Protection

The collection, processing, and use of personal data of your contact persons takes place within the framework of our privacy policy, which you can view at any time at shop.marein.ch.

13. Changes to the GTC

We reserve the right to adapt these GTC at any time. We will inform you of changes by e-mail or via the B2B shop. If you do not object to the amended GTC within 30 days in writing, they are deemed accepted. For ongoing orders, the version valid at the time of contract conclusion applies.

14. Applicable Law and Jurisdiction

These GTC and all contracts with you are governed exclusively by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of laws rules.

The exclusive place of jurisdiction for all disputes is Baden (Canton Aargau). We are also entitled to sue you at your registered office.

15. Final Provisions

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by the legally permissible regulation that comes closest to its meaning and purpose.

Ancillary agreements, changes, or additions require written form. This also applies to the amendment of this written form requirement.
